Terms of Service

Last updated: [Insert Date]

Welcome to Luméa. These Terms of Service (“Terms”) govern your access to and use of our website, products, services, consultations, project coordination, delivery arrangements, and installation-related offerings provided by Luméa (“Luméa,” “we,” “our,” or “us”).

By accessing our website, requesting a consultation, scheduling an appointment, approving a quotation, placing an order, or otherwise using our services, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our website or services.

1. Nature of Our Services

Luméa provides a project-based furnishing and hardware service that may include, depending on the project:

  • website browsing and inquiry submission,
  • consultation and communication,
  • on-site measurement,
  • specification and finish selection,
  • quotation preparation,
  • product ordering or custom procurement,
  • delivery coordination,
  • and professional installation.

Luméa does not operate solely as a standard retail storefront. Many of our offerings involve custom planning, project coordination, specially sourced materials, and installation services tailored to a specific location.

2. Eligibility to Use Our Services

By using our website or services, you represent that:

  • you are at least the age of majority in your jurisdiction, or you are using our services with the consent of a parent or legal guardian;
  • the information you provide to us is accurate and complete;
  • you have authority to approve purchases, site access, and installation work for the relevant property or project;
  • and your use of our services does not violate any applicable law or third-party right.

3. Website Information & General Disclaimer

We strive to present our products, finishes, descriptions, and service information as accurately as possible. However:

  • colors, finishes, textures, and materials may appear differently depending on screen settings, lighting, photography, and environment;
  • measurements, diagrams, mockups, and examples shown on the website may be illustrative only unless expressly confirmed for your project;
  • product and service information may be updated, corrected, or changed without notice.

We do not guarantee that all information on the website is always complete, current, or error-free.

4. Consultations, Measurements & Project Recommendations

If Luméa provides consultation, on-site measurement, or project recommendations, such services are based on the information available at the time and the visible site conditions reasonably identifiable during the visit.

Recommendations may depend on:

  • wall or ceiling conditions,
  • access,
  • dimensions,
  • mounting feasibility,
  • product availability,
  • design selections,
  • and project scope.

Some site conditions may not become apparent until ordering, delivery, or installation begins. Luméa reserves the right to adjust recommendations or propose revised solutions if hidden or changing site conditions affect the project.

5. Quotations, Approvals & Project Confirmation

Any quote, estimate, or proposal provided by Luméa is based on the scope and assumptions described in that quote.

A project is generally considered confirmed once:

  • the customer approves the quotation, specifications, and scope,
  • and any required payment or deposit has been received.

Once approved, the project may move into procurement, custom ordering, scheduling, or preparation. At that point, changes and cancellations may be limited and may result in additional charges.

6. Pricing & Payment

All prices, service fees, consultation fees, and project charges are subject to change until formally confirmed by Luméa.

You agree to pay all charges applicable to your approved order or project, including, where applicable:

  • product costs,
  • custom procurement costs,
  • measurement or consultation fees,
  • installation charges,
  • delivery-related charges,
  • taxes,
  • and any approved additional work or adjustments.

If payment is made through the website, invoice, or another approved channel, you agree to provide valid payment information and authorize Luméa to charge the applicable amount.

Failure to make payment when due may delay ordering, delivery, installation, or project completion.

7. Custom Orders & Procurement

Many Luméa projects involve products that are:

  • custom-cut,
  • made to order,
  • specially sourced,
  • allocated specifically for a project,
  • or prepared according to customer-approved specifications.

For this reason, once procurement, production, or material allocation has begun, such items are generally non-cancelable and non-returnable except where required by law or where Luméa determines otherwise in its discretion.

8. Delivery & Installation

Delivery and installation timelines are estimates unless expressly confirmed in writing.

Project timing may be affected by factors including:

  • supplier lead times,
  • manufacturing schedules,
  • shipping or freight conditions,
  • seasonal demand,
  • weather,
  • site readiness,
  • customer responsiveness,
  • and installer availability.

Luméa will make reasonable efforts to coordinate projects efficiently, but we are not liable for delays caused by factors outside our direct control.

Installation services are subject to site readiness, access, and safe working conditions. If a site is not ready, inaccessible, unsafe, or otherwise unsuitable for installation at the scheduled time, Luméa may reschedule the visit and charge an additional service or trip fee where appropriate.

9. Site Conditions & Limitations

You acknowledge that buildings and installation sites may contain hidden or variable conditions, including:

  • wall or ceiling composition,
  • stud placement,
  • concrete, tile, masonry, or metal conditions,
  • structural limitations,
  • uneven surfaces,
  • hidden obstructions,
  • limited mounting support,
  • or other conditions outside Luméa’s control.

Luméa is not responsible for issues caused by hidden site conditions, pre-existing defects, building movement, structural limitations, or other circumstances not reasonably detectable in advance.

If such conditions affect the project, Luméa may recommend adjusted mounting methods, revised hardware, additional support, or changes in scope. Additional charges may apply.

10. Customer Responsibilities

You agree to:

  • provide accurate project information,
  • review quotations and specifications carefully before approval,
  • ensure legal access to the property,
  • ensure the site is reasonably ready for measurement, delivery, and installation,
  • disclose known site conditions that may affect the work,
  • and communicate promptly regarding scheduling, approvals, and project questions.

You are responsible for confirming that any landlord, building manager, HOA, or other third party whose permission may be required has approved the relevant work.

11. Cancellations, Changes & Returns

Project changes, cancellations, and returns are governed by Luméa’s applicable policies, including our Ordering, Delivery, Installation & Return Policy and any project-specific terms provided to you.

Because many projects involve custom services and project-specific procurement, cancellations and returns may be limited once work has begun.

12. Product Issues, Damage & Claims

If an item is delivered damaged, incorrect, incomplete, or materially inconsistent with the approved specifications, you should notify Luméa promptly.

Luméa may request documentation such as:

  • photos,
  • packaging details,
  • measurements,
  • installation notes,
  • or other supporting information.

If a claim is verified, Luméa may determine an appropriate resolution, which may include repair, correction, replacement parts, remake, reshipment, or another reasonable solution.

13. Warranty Disclaimer

Except as expressly stated in writing, Luméa provides its website, services, consultations, coordination, products, and installation services on an “as is” and “as available” basis.

To the fullest extent permitted by law, Luméa disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • the website will be uninterrupted or error-free,
  • project timing will always meet estimated dates,
  • every product will be available at all times,
  • or that services will be free from limitations caused by site conditions, suppliers, carriers, or other third parties.

Nothing in these Terms excludes any warranty or consumer right that cannot lawfully be excluded.

14. Limitation of Liability

To the fullest extent permitted by law, Luméa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of use, loss of opportunity, delay-related damages, or third-party costs arising out of or related to:

  • the use of our website,
  • our services,
  • project delays,
  • delivery issues,
  • installation limitations,
  • building conditions,
  • or these Terms.

To the fullest extent permitted by law, Luméa’s total liability for any claim arising out of or related to a product, service, or project shall not exceed the amount actually paid by you to Luméa for the specific product or service giving rise to the claim.

This limitation applies regardless of the legal theory asserted and even if Luméa was advised of the possibility of such damages.

15. Indemnification

You agree to indemnify, defend, and hold harmless Luméa and its owners, officers, employees, contractors, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or related to:

  • your misuse of the website or services,
  • your breach of these Terms,
  • inaccurate information you provide,
  • your failure to obtain required permissions,
  • site conditions or instructions provided by you,
  • or your violation of any law or third-party right.

16. Intellectual Property

All content on the Luméa website, including but not limited to text, branding, logos, graphics, photographs, layouts, design elements, and written materials, is owned by Luméa or used with permission and is protected by applicable intellectual property laws.

You may not reproduce, copy, distribute, modify, publish, display, or exploit any content from our website without our prior written consent.

17. Third-Party Products, Suppliers & Links

Luméa may source products from third-party manufacturers or suppliers and may reference third-party services, delivery providers, or websites.

We are not responsible for third-party websites or services. Any third-party links are provided for convenience only and do not imply endorsement.

Where a project depends on third-party suppliers or carriers, Luméa is not responsible for third-party actions outside our reasonable control, though we may help coordinate practical resolution where appropriate.

18. Privacy

Your use of our website and services is also subject to our Privacy Policy.

By using our services, you acknowledge that we may collect and use information as described in our Privacy Policy, including for project communication, scheduling, quoting, delivery coordination, installation, and customer support.

19. Electronic Communications

By contacting us through the website, email, forms, or other electronic means, you consent to receive communications from Luméa electronically, including project updates, scheduling communications, invoices, estimates, approvals, and customer service responses.

You agree that such communications satisfy any legal requirement that communications be in writing, to the extent permitted by law.

20. Force Majeure

Luméa shall not be liable for any delay, interruption, or failure to perform resulting from events beyond our reasonable control, including:

  • natural disasters,
  • severe weather,
  • labor disruptions,
  • supplier failures,
  • material shortages,
  • transportation disruptions,
  • government actions,
  • pandemics,
  • utility failures,
  • or other force majeure events.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

22. Dispute Resolution

In the event of a dispute, both parties agree to first attempt to resolve the matter informally and in good faith.

If a dispute cannot be resolved informally, Luméa reserves the right to require that any dispute arising out of or relating to these Terms, the website, or our services be resolved in a court of competent jurisdiction located in California, unless applicable law requires otherwise.

You agree that any claim must be brought in your individual capacity and not as part of a class action, collective action, or representative proceeding, to the fullest extent permitted by law.

23. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

24. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

25. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, operations, policies, or legal obligations.

Any updated version will be posted on this page with a revised “Last updated” date. Your continued use of the website or services after such updates constitutes your acceptance of the revised Terms.
